IMPORTANT NOTICE

This Intellectual Property Policy governs the ownership of OperaFlow's pre-existing assets, frameworks, software patterns, and custom client deliverables. It forms part of OperaFlow's legal governance structure.

1. Pre-Existing Intellectual Property Retention

OperaFlow explicitly retains 100% full, exclusive ownership of all pre-existing intellectual property, assets, tools, frameworks, and methodologies developed, acquired, or refined prior to or independently of any client engagement.

In client engagements, OperaFlow does not assign, transfer, or convey its underlying pre-existing intellectual property to any client, unless explicitly agreed upon in a written, executed Client Services Agreement.

2. Scope of Pre-Existing Assets

OperaFlow's protected pre-existing intellectual property includes, but is not limited to:

  • Core operational frameworks and audit methodologies
  • Workflow automation scripts, templates, and patterns
  • AI prompt engineering architectures and assistant templates
  • Internal developer tools, utility libraries, and helper classes
  • Custom dashboard UI components and design systems
  • Technical documentation, SOPs, and system blueprints
  • Know-how, technical expertise, and system logic

3. Client Deliverables & Licensing Structure

Ownership and licensing of bespoke client deliverables (such as customized database configurations or client-specific workflow scripts) are determined solely by the terms of the individual, executed Client Services Agreement.

Where client deliverables incorporate or depend upon OperaFlow's pre-existing IP, OperaFlow grants the client a non-exclusive, non-transferable, perpetual license to use such pre-existing IP solely as embedded within the completed deliverable for internal business operations.

4. Third-Party Intellectual Property

Certain operational workflows rely on third-party APIs, software libraries, cloud infrastructure, or AI platforms (e.g. OpenAI, Anthropic, WhatsApp API, Make/Zapier). All third-party trademarks, logos, service marks, and software code remain the property of their respective third-party owners.

5. Website Content Protection

The OPERA-FLOW logo, Website design, text, graphics, and visual layouts are copyrighted assets of OperaFlow. Unauthorized reproduction, scraping, copying, or redistribution of Website assets is strictly prohibited.
